Threadwise Terms of Service

1️⃣ What these terms cover

These Terms apply to:

• 🤖 Threadwise Studio - a credit-based AI tool for product photos and other visuals (main product)
• 🎬 Videos - short AI videos (currently beta), if offered
• 💳 Membership (member pricing) - a monthly subscription with monthly credit renewal, if offered
• 🎓 One-time courses, workshops and trainings - one-time digital products, if offered
• 🎨 Downloadable digital files - patterns, templates and similar files, if offered
• 🛠️ Threadwise Studio customization - building one branded “Custom App” inside the Studio for a specific brand, if offered

By creating an account, purchasing credits, activating membership or using Threadwise Studio, you agree to these Terms and the Privacy Policy.

Threadwise sells digital products and services to customers in the Czech Republic and internationally (B2C and B2B). Prices may be shown in CZK or EUR. The checkout always prevails.

2️⃣ Who can use Threadwise

• You must be legally able to enter into a contract under the laws of your country of residence.
• If you are under 18, you need consent from a parent or legal guardian.
• You confirm that using Threadwise and selling products created with Threadwise is allowed in your country.

3️⃣ Accounts, access and credits

I reserve the right to change credit prices, membership pricing, or the number of credits consumed by specific actions at any time. If changes are significant, I will try to notify you in advance.

4️⃣ Payments, pricing and taxes

• Payments are processed via providers such as Stripe or PayPal. I do not store full card details.
• One-time purchases: When buying credits, courses, workshops or downloadable files, you pay the one-time price shown at checkout.
• Membership: If you activate membership, you agree to recurring monthly charges at the amount and frequency shown at checkout until you cancel.
• Taxes (including VAT): The operator is established in the Czech Republic. Tax treatment may differ based on whether you buy as a consumer (B2C) or business (B2B), your country, and the type of digital service. The information shown at checkout and on your receipt is always controlling. If you are a business and your country requires self-assessment (for example reverse charge), it is your responsibility.
• Currency and conversion: Prices may be displayed in different currencies (for example CZK or EUR). The currency and amount shown at checkout always control. Your bank or card provider may charge FX or international payment fees. I cannot influence these fees.

• Receipts and invoices: I issue receipts/invoices under Czech rules. If you need a business invoice (B2B), please enter your company details at checkout. If that is not possible, email me shortly after purchase at [email protected].

5️⃣ Threadwise Studio - inputs, content and your responsibility

• Ownership and permissions:
  • You confirm you own or have all necessary rights and permissions for everything you upload or type into the Studio (for example product photos, patterns, logos, brand assets, backgrounds).
  • If your files include identifiable people (including you, models or children), you are responsible for obtaining their consent as required by law.
• Prohibited content: You must not upload anything illegal, abusive or otherwise prohibited in your country, including (without limitation):
  • illegal hateful content or harassment
  • non-consensual, exploitative or sexualized depictions of people
  • content that violates copyright, trademarks or privacy rights of others
  Threadwise provides tools as an intermediary layer and does not pre-check all content. You are fully responsible for the legal consequences of the content you upload and generate.
• AI APIs: To generate images, your uploads, prompts and related technical data are sent to external AI providers via their APIs. They process this content to generate outputs and may also process technical metadata (such as timestamps and error logs). Their terms may apply alongside these Terms.
• Training and model improvement: Some AI providers may use submitted content to train or improve their models (more details in the Privacy Policy).
• Intermediary role: Threadwise provides access to tools and infrastructure. I am not responsible for how you use outputs or for legal consequences of illegal actions arising from your use of the app or uploading illegal data, except where the law requires otherwise.

6️⃣ Outputs, licensing and use after refunds

• Nature of AI: Studio results are AI-generated. They are inherently unpredictable and may vary in style, realism or quality. They may contain artifacts or distortions and may be recognizable as AI content. A specific outcome is never guaranteed and is not a basis for a refund.
• Recognizability as AI: Any content generated or edited through Threadwise Studio is AI-generated or AI-edited and should be treated as such. You should assume platforms, tools or third parties may detect it as AI content.
• Labeling obligations and legal requirements: Many platforms and some laws require AI-generated or AI-edited content to be clearly labeled. Threadwise does not automatically label or notify external platforms about your outputs. You are responsible for learning and complying with labeling rules where you publish or use your images.
• General rule: Credits and digital products are non-refundable unless the law requires otherwise. An exception may be the good-will return of credits under the rules below (for example clearly broken generations).

7️⃣ Reporting, credit returns and storage

• Report feature: You can report a generated image for manual review if it is clearly deformed or physically impossible.
• Possible credit return: I may, at my discretion, return credits used on a reported generation if issues are clearly present:
  • 1. The main product is completely changed into something else and is not recognizable compared to the original.
  • 2. The generated image does not make physical sense in the real world.
  • 3. A basic clearly requested attribute repeatedly fails (for example “pink”).
• No automatic legal right to a refund: The report feature is a good-will gesture and does not itself create a legal entitlement to money back.
• Storage limits:
  • Non-reported images and related files are typically stored for up to 24 hours.
  • Reported generations and related files may be stored for up to 14 days.
  • After that, images are deleted and cannot be restored. Please download what you need in time.

8️⃣ Fast Pass and queues

• Fast Pass is an optional feature that prioritizes your jobs in the queue for extra credits. Options and credit pricing are shown inside the Studio and may change over time.
• Fast Pass speeds are targets, not guarantees. Fast Pass credits are not refunded just because processing took longer than expected, unless there was a clear error on my side.

9️⃣ Other products: courses, workshops, downloads and customization

No refunds once work starts: Because this is a custom-made service, it becomes non-refundable from the moment work starts after the kickoff call (sample/design work).

🔟 Refunds (short)

• Credits and digital products: as a general rule, purchases of credits, courses, workshops and downloadable files are non-refundable after delivery, unless the law requires otherwise.
• Consumers and digital content: If you purchase as a consumer, you may have a 14-day withdrawal right. For digital content and digital services delivered immediately, that right may be lost once you expressly consent to starting performance before the end of the withdrawal period and acknowledge that you lose the right of withdrawal. This consent is typically confirmed at checkout.
• Membership: Membership payments are recurring monthly charges. The already started (paid) period is typically non-refundable, unless the law requires otherwise.
• Reporting and credit returns: See “Reporting, credit returns and storage”. This is a good-will decision, not a legal entitlement.

More detailed information and examples may be provided in a separate Refund Policy. If there is a conflict, the most specific policy shown at checkout or on the relevant sales page prevails.

1️⃣1️⃣ Acceptable use and fair play

• Do not attempt to disrupt, overload, or bypass limits, rate limits, or security of the Studio.
• Do not share your account or use someone else’s account without their consent.
• Do not use Studio outputs for systematic “extraction” to build a competing service in a way that goes beyond normal business use.
• I may suspend or terminate access in cases of abuse, non-payment, repeated chargebacks, or serious violations of these Terms.

1️⃣2️⃣ No guarantee of results and limitation of liability

• No guarantee of specific results: Threadwise does not promise specific business results, revenue, sales or performance. AI is still experimental and can behave unpredictably.
• Service availability: I aim to keep the Studio available, but outages, errors, provider downtime or updates may occur. Access may be temporarily limited or interrupted.
• Maximum liability: To the maximum extent permitted by law, my total liability for any claims related to Threadwise is limited to the amount you paid in the 90 days before the issue arose.
• I am not liable for indirect or consequential damages such as lost profit, lost sales, data loss or business interruption.
• Nothing in these Terms excludes liability where such exclusion would be unlawful (for example mandatory consumer rights).

1️⃣3️⃣ Governing law, disputes and changes

• These Terms are governed by the laws of the Czech Republic and applicable EU law. If you are a consumer, nothing in these Terms limits your mandatory consumer rights in the country of your habitual residence.
• If a dispute arises, please contact me first at [email protected] so we can try to resolve it informally.
• Consumer dispute resolution (ADR): If you are a consumer, you can contact the Czech Trade Inspection Authority (ČOI) as the ADR entity. Email: [email protected] · Web: https://coi.gov.cz/informace-o-adr/
• If any provision of these Terms is found invalid, the remainder stays in effect.
• I may update these Terms from time to time. The “Last updated” date will change. If changes are significant, I will try to notify you (for example by email or inside your account). By continuing to use Threadwise after changes take effect, you typically agree to the updated Terms.

These Terms describe how Threadwise works from my side as the owner of a small studio. They are not individual legal or tax advice for you. If you are unsure how to handle AI content, taxes or business matters in your country, please consult a qualified professional.
